Canopy Development, LLC was organized in Massachusetts on 22 Sep 2004 by Tom Horton. The nature of its business was stated as "LAND DEVELOPMENT".During 2005, the company announced its intent to sell 4% convertible promissory notes on 9 Mar 2005 and 23 Sep 2005, for a total aggregate value of $750,000.
On 1 Nov 2005, Canopy Development Company, LLC was organized in Delaware.
On 21 Nov 2005, Canopy Development, LLC exchanged $710,000 of convertible debentures for LLC Interests.
On 8 Dec 2005, the Massachusetts company merged into Canopy Development Company, LLC in the state of Delaware and the new company was also registered to conduct business, as a 'foreign' company, in Massachusetts.
On the same day, the new company sold $1,800,000 in LLC Interests to a single Delaware investor. The SEC filing lists two new General Partners: J. Douglas Holladay and Donn Davis, both at 1717 Rhode Island Avenue NW in Washington, DC. This is also the business address of Revolution, LLC.
On 10 Jul 2006, a joint announcement by Canopy Development and Revolution, LLC stated that the latter had "acquired a controlling stake in Canopy Development."

29 Nov 2006 - Canopy made contact with Anita Peck and her sister Barbara-Anne Battelle and negotiated an Agreement of Sale for the 800± acres of land Anita controlled as President of Binnewater Realty Corporation and Ulster County Construction Company, Inc., as well as undeveloped land on the West side of Binnewater Road.
27 Feb 2007 - Canopy Development Company, LLC recorded an exchange of $500,000 worth of 10% convertible debt. The specifics of this transaction are unclear, however it seems to involve exchange to a DC investor of debt held by a Minnesota investor. The SEC form for this transaction newly lists "Revolution Places, LLC" as a Beneficial Owner.
19 Apr 2007 - Canopy Development Company, LLC recorded an exchange of $250,000 in 10% convertible debt. The specifics of this transaction are unclear, however it seems to involve exchange to a Massachusetts investor of debt held by DC and Minnesota investors. $249,500 of the proceeds are stated to be proposed to be used for the purchase of real estate.
23 Apr 2007 - The sale agreement of 29 Nov 2006 was formalized in a Memorandum of Contract. (The execution of this contract was later carried out by Hudson River Valley Resorts, LLC.)
Feb 2008 - Canopy founder Tom Horton was involved in a serious accident and began what would be a long process of recovery.
14 Apr 2009 - In the minutes of a meeting of the Ulster County Trails Advisory Committee", former Canopy Development employee (and current HRVR Project Manager) Tim Allred is said to have stated that the project was no longer headed by Canopy Development.
10 Aug 2009 - A telephone call to Canopy Development offices confirmed that the company had been reduced to a single employee, founder Tom Horton, and was being operated out of his home.
26 Aug 2009 - In a second telephone call Tom Horton stated that all of Canopy's participation in the Williams Lake project had been bought out by Hudson River Valley Resorts and that Canopy no longer had any relationship with the project, either as an investor or sub-contractor.
21 Oct 2010 - CanopyLLC.com was registered as a new domain name. In spite of the domain name, no active company named Canopy, LLC was registered in Massachusetts as of 21 Apr 2011. The logo was the same one used by Canopy Development. The principles listed on the site were many of the same people earlier involved with Canopy Development and the company offered similar services. This domain name was allowed to expire on 21 Nov 2011.9 Dec 2010 - TomHorton.org was registered as a new domain name. The website at that address identifies several businesses in which Tom Horton is now involved, including one called Canopy Development Services. Among the listed enterprises are Icon wheelchairs, FloDesign (contract engineering services), Sustainable Resources, Inc. (incorporated in Massachusetts 27 Aug 2003 to do Real Estate Consulting, but with no apparent website), etc.
19 Apr 2011 - The registration for Canopy Development Company, LLC in Massachusetts was revoked by the Secretary of State.
